Acceptance of Terms
By using this website, requesting a quote, approving a proposal, making a payment, or using HimSoft services, you agree to these Terms & Conditions. Additional written proposals, invoices, statements of work, or contracts may apply to specific projects.
Services
HimSoft provides services including web design, web development, e-commerce, custom software, ERP and CRM portals, AI solutions, SEO, digital marketing, hosting, domain registration, maintenance, and consulting. The exact scope, timeline, deliverables, pricing, and support terms are defined in the relevant proposal or written communication.
Client Responsibilities
- Provide accurate project requirements, business information, content, approvals, and access credentials when needed.
- Review work and respond to requests within reasonable timeframes.
- Ensure that supplied content, images, trademarks, data, and materials do not violate third-party rights or laws.
- Maintain backups and internal records for business-critical data unless backup services are separately agreed.
Quotes, Payments, and Timelines
Quotes are based on the information available at the time of estimation. Changes in scope, integrations, third-party costs, content volume, urgency, or technical complexity may affect pricing and timelines. Work may require advance payment, milestone payments, or recurring retainers as agreed.
Revisions and Scope Changes
Reasonable revisions may be included when stated in the proposal. New features, major design changes, additional pages, extra integrations, content work, migration tasks, or changes after approval may be treated as additional scope.
Third-Party Platforms
Projects may rely on third-party services such as hosting providers, domain registrars, CMS platforms, payment gateways, ad networks, analytics tools, AI model providers, APIs, plugins, apps, or form tools. HimSoft is not responsible for downtime, pricing changes, policy changes, bugs, suspensions, or limitations caused by third-party platforms.
Intellectual Property
After full payment, final project deliverables created specifically for the client are transferred to the client unless otherwise agreed. HimSoft may retain ownership of reusable code, frameworks, internal tools, templates, know-how, pre-existing materials, and general development methods. Third-party licenses remain subject to their own terms.
Hosting, Domains, and Renewals
Hosting, domains, SSL certificates, licenses, plugins, apps, and other renewals must be paid on time to avoid suspension or expiry. HimSoft is not responsible for loss caused by delayed payment, expired domains, unpaid renewals, or third-party provider actions.
Digital Marketing and SEO
Marketing, SEO, and advertising services are influenced by competition, platform rules, algorithm changes, campaign budgets, landing page quality, industry demand, and user behavior. We work toward agreed goals but do not guarantee rankings, leads, revenue, approvals, or platform performance.
Limitation of Liability
To the maximum extent permitted by law, HimSoft is not liable for indirect, incidental, consequential, special, punitive, or business-loss damages including lost profit, lost data, lost ranking, lost leads, platform downtime, or third-party failures.
Governing Law
These terms are governed by the laws of India. Any disputes will be handled under the appropriate jurisdiction in Himachal Pradesh, India, unless otherwise agreed in writing.
